WEST PALM BEACH, FL, Sept. 30, 2026 (GLOBE NEWSWIRE) — GOA Therapeutics Corporation (“GOA” or the “Company”), a biotechnology company developing potential first-in-class candidates for acute alcohol intoxication and poisoning, today announced that it has filed an offering statement with the U.S. Securities and Exchange Commission (“SEC”) for a proposed Tier 2 Regulation A public offering as part of a broader financing strategy involving contemplated stock issuances with an aggregate offering value of up to approximately $300 million.
Under the proposed Regulation A offering, GOA proposes to offer up to 5 million shares of its common stock at $15.00 per share, representing an aggregate offering value of up to $75 million.
GOA has engaged DealMaker Securities LLC, a FINRA/SIPC-registered broker-dealer, to provide broker-dealer services in connection with the proposed Regulation A offering.
Separate from the Regulation A offering, GOA also contemplates additional exempt offers and sales of its common stock. Based on the terms currently contemplated by the Company, the Regulation A offering and the separate exempt offerings could represent an aggregate offering value of up to approximately $300 million.

GOA26 is an investigational, first-in-class candidate designed to rapidly lower blood alcohol concentrations and sequester acetaldehyde, a toxic byproduct of alcohol metabolism. The Company is initially developing GOA26 for intravenous administration in acute-care medical settings.
In preclinical porcine studies involving severe alcohol intoxication, GOA26 lowered blood alcohol concentrations by 61.3% at 20 minutes after administration compared with the control group. These preclinical findings do not establish safety or efficacy in humans. GOA26 remains investigational and has not been approved for commercial use.

GOA expects to use proceeds available to the Company from its financing activities to advance GOA26 into and through clinical development and to support research and development, manufacturing, medical affairs, regulatory activities, intellectual property, commercialization planning, working capital and other general corporate purposes.
GOA intends to provide additional information regarding the launch of its Regulation A offering, including information regarding how eligible investors may participate, in a subsequent announcement.
